TERMS & CONDITIONS Warranty All items sold by Vortex Media are warranted to the original purchaser for normal use for a period of 90 days from the date of purchase. If any product is defective in material or workmanship during the warranty period, it will be replaced when returned to Vortex Media. There are no other express or implied warranties except as set forth herein. Vortex Media shall have no liability or warranty for incidental or consequential damages arising out of the use or inability to use its products, and in all cases our liability is limited strictly to replacement or the value of the product purchased. Return/Exchange Policy All products, except DVDs or MediaFiler software, can be returned within 5 days of receipt for an exchange or refund (excluding shipping and handling charge), subject to a Return Authorization from Vortex Media. Defective DVDs or MediaFiler software may be returned within 5 days of receipt for exchange only. For an RA (Return Authorization) number, please e-mail customer service at returns@vortexmedia.com. Please note that an RA # does not guarantee final disposition, and all returns are subject to inspection. All exchanged/returned merchandise must be in original brand new condition. VSB1 and VSB3 shoulder braces must include all parts, and have no damage including any wear, indentations or imperfections on the foam padding. All returns must be packed securely with a copy of the original invoice included and a valid RA# clearly written on the outside of the shipping carton. Returns must be received within 10 calendar days after receiving an RA#. Refunds on returned items will be credited to the same payment method that the purchase was made. Please Note: Our Returns Receiving Department will refuse any package that does not have a valid RA#. There are no exceptions to this rule. If any of the above conditions are not met, we reserve the right to refuse the return or charge a restocking fee of not less than 15%, at our sole discretion. Please ship your parcel back to us freight pre-paid – we cannot accept COD or freight-collect shipments. For your own protection, insure all return packages. Vortex Media is not responsible for returned shipments that are lost, pilfered or damaged. If you would like expedited shipping, please include your instructions on the order form in the “Notes, Special Instructions & Comments” area. Please specify the level of service required, i.e. Next Day, 2nd Day Air, etc. The standard shipping fee will be waived and the expedited shipping cost will be added to your order. A copy of your invoice showing the actual shipping charges paid will be included with your shipment. Please note: UPS will not deliver to a P.O. address. Please be sure to provide your full ship-to address and whether it is a residential or commercial address. International customers: Please be advised that you are responsible for any duty and/or import fees that your country may impose. If delivery is refused, you may be obligated to pay for any return shipping fees. Payments We accept the following credit cards: MasterCard, Visa and American Express. License Agreement for "PMW-F3 S-LOG and External Recorders Test Drive" footage: TERMS AND CONDITIONS The License: This is a license, not a sale. Vortex Media continues to own all content, graphics, video clips, and photographs ("Test Clips"). Subject to your acceptance of the terms of this agreement ("License Agreement") Vortex Media hereby grants to you a non-exclusive, non-transferable, worldwide right to use the Test Clips, photograph(s), or visual representations for testing purposes only. These Test Clips cannot be incorporated into any work produced by you. Thus, you cannot incorporate Test Clips into promotional materials, packaging, web page design, broadcast, products for sale, electronic and print publication, comps, and layouts. The Test Clips may not be sold as stand alone clips, test clips, or included in any other media/stock product, library, or collection for distribution or resale. You may not make available some or all of the Test Clips on a web page or other display as a separate or downloadable reuseable file, or disassemble, decompile, reverse engineer, translate, or otherwise decode the Test Clips for any reason whatsoever. Vortex Media retains all right, title, and interest in and to the Test Clips not expressly granted by the License Grant above. Such rights are protected by the United States and International Copyright laws and international treaty provisions. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to abide by the terms of this agreement. All Vortex Media’s Test Clips are provided "as is". Vortex Media makes no representation or warranty either express or implied including but not limited to any implied warranties of merchantability, fitness for any particular use, quality of image, or compatibility with any computer hardware or other equipment, operating system or software program. Neither Vortex Media nor any of its directors, officers, employees, subsidiaries, affiliates, or agents shall be liable for any damages, whether direct, incidental, or consequential, or other damages arising out of the use of, or the inability to use, the Test Clips. Vortex Media’s limitation of liability and your sole remedy under the foregoing warranty, is a replacement of, or a full refund for, the Test Clips. Under no circumstances will Vortex Media be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of Test Clips. The license contained in this Agreement will terminate automatically without notice from Vortex Media if you fail to comply with any provision of the Agreement. Upon termination, you must immediately 1) stop using the Vortex Media Test Clips 2) return the Vortex Media Test Clips and all copies of it to Vortex Media 3) delete the Vortex Media Test Clips and all copies from all magnetic and digital media, and destroy all other copies. Your indemnity and payment obligations and Vortex Media’s rights in conjunction with those obligations shall survive any termination or expiration of this Agreement. The provisions of this paragraph are in addition to any other remedies and rights Vortex Media may have as a result of any breach of this Agreement. Neither party will be entitled to damages as a result of termination of this Agreement as provided herein. You agree that any breach of your obligations with respect to Vortex Media’s proprietary or intellectual property rights will result in irreparable injury to Vortex Media for which money damages are inadequate and you therefore agree that Vortex Media is entitled to injunctive relief in addition to any other relief that a court may deem proper. Vortex Media reserves the right to pursue any claim or controversy relating to intellectual property rights, not by arbitration, but by a court located in the State of Rhode Island. In the event that either a court of competent jurisdiction directs us to go to court, or the matter involves copyright, you agree to fully reimburse Vortex Media for its reasonable legal fees, costs, and disbursements if Vortex Media is successful in the suit. Vortex Media reserves the right to seek an injunction to prevent breach of your obligation to Vortex Media's intellectual property rights. Vortex Media reserves the right to withdraw Test Clips from use at any time, for any reason, and you agree to destroy any such file and discontinue the use of any Test Clips, Clips, and/or images that have been withdrawn from circulation by Vortex Media. If any provision of this Agreement is found illegal or unenforceable, the legality and enforceability of the other provisions of the Agreement will not be affected. Your use of the Test Clips must be in compliance with all applicable law, including but not limited to, laws and regulations relating to export, currency, and the law of moral rights. This license will expressly not be governed by the United Nations Convention on Contracts for the International Sale of Goods. No license for usage of Vortex Media's Products is granted until payment in full for the Product has been received by Vortex Media.
